Terms of service

1. Who we are and acceptance

These terms govern the relationship between [COMPANY NAME] (tax ID [TAX ID], «we») and the person or company that subscribes to AutoLeads («you» or «the customer»). By creating an account, activating a license or paying, you declare that you have read and accept them, together with the Acceptable use policy, the Privacy policy and the Data processing agreement, which form part of the contract.

2. The service

AutoLeads is a desktop program that, following your instructions, searches for people on LinkedIn, analyses their public profiles with artificial intelligence, sends invitations and messages from your own account, reads the replies and organises your contacts and tasks. The subscription includes the license to use the program, its updates and the related online services (activation, configuration, artificial intelligence and support) according to the plan you choose.

No affiliation. AutoLeads is an independent product. It is not an official LinkedIn feature and it is not affiliated with, sponsored or endorsed by LinkedIn Corporation, which may change its service at any time in ways that affect how the program works.

3. For professionals only

The service is aimed exclusively at companies and professionals acting within their business or professional activity, for B2B prospecting. It is not offered to consumers. Both individuals (professionals and freelancers) and companies may subscribe. By subscribing you declare that you act in that capacity; for that reason the right of withdrawal provided for consumers does not apply. The 14-day free trial lets you test the service before paying.

4. Account and license

• We grant you a non-exclusive, non-transferable license to install and use AutoLeads while the subscription is active. The subscription is bought by seats: each seat is for one person, has its license key and allows the program on the number of computers and LinkedIn accounts (taking turns) of your plan, shown on the pricing page.
• A customer account may belong to a person or a company. In company accounts, whoever manages it invites people, assigns them seats and can disconnect their computers.
• Each connected LinkedIn account must be yours or belong to a person in your organisation who has authorised it. You are responsible for the credentials and for everything done with your license.
• You may not decompile, resell or sublicense the program, or get around its technical or safety limits.

5. Risk to your LinkedIn account

LinkedIn's terms of use do not allow automated tools. Using AutoLeads may lead LinkedIn to ask for verifications, limit features, or restrict or close your account.

• AutoLeads includes measures to reduce that risk (limits, working hours, a slow pace, warm-up and an automatic pause on warnings), but we do not guarantee that LinkedIn will not act on your account.
• You freely decide to use the program and you take on that risk. We are not liable for the limitation, restriction, suspension or closure of your LinkedIn account, nor for the loss of contacts, messages or data held in it.
• If you change the recommended limits or force higher limits, you do so at your own responsibility.

6. Your obligations

You agree to use the service in accordance with the law and the Acceptable use policy, to review the texts and criteria you set up and to honour the requests of the people contacted (for example, not to be written to again).

7. Personal data

The data of the people you search for and contact is processed under your decision: you are the controller and you must have a valid legal basis (usually the legitimate interest in B2B prospecting), inform them and respect their rights. That data is kept on your computer. When it passes through our online services (artificial intelligence, the shared exclusion list), we act as processors under the Data processing agreement. We process the data of your own account as controllers under the Privacy policy.

8. Artificial intelligence

Profile analysis, message writing and reply reading are done with artificial intelligence models that can make mistakes. AutoLeads explains every decision and starts in test mode so you can review its work; the content sent on your behalf is your responsibility. Each plan includes a monthly amount of artificial intelligence per seat, measured in tokens; if it runs out, the tasks that need it wait until the next month or until you change plan. The text sent to the artificial intelligence provider passes through our servers and we do not keep it.

9. Trial, prices and payment

• Free trial: 14 days of the Professional plan, no card, once per customer. When it ends nothing is charged: if you do not choose a plan, the program stops working on LinkedIn and your local data stays on your computer.
• Prices: those published on the website when you subscribe, per seat and month (or their monthly equivalent if you pay yearly), with the volume discounts shown. They are shown without VAT, except where the total with VAT is indicated.
• Taxes: customers in Spain are charged the applicable VAT (21%). Companies in other European Union countries with a valid VAT number are not charged VAT (reverse charge); individuals in other European Union countries are charged their country's VAT; outside the European Union no VAT is added.
• Payment: by card through our payment gateway (Stripe). We do not see or keep your card details. Invoices are available in your account.
• Automatic renewal: the subscription renews for equal periods (monthly or yearly) and is charged at the start of each period, unless you cancel it before.
• Plan and seat changes: you can make them at any time from your account; the difference is prorated on the next invoice.
• Non-payment: if a charge fails, we will let you know and retry for a few days; if it is not settled, the subscription is cancelled and the program stops working on LinkedIn.
• Price changes: we will let you know at least 30 days in advance and they will apply from the next period; if you do not agree, you can cancel before.

10. Cancellation, account deletion and refunds

You can cancel at any time from your account. Cancellation takes effect at the end of the period already paid, until which you can keep using the service. You can also delete your account from the customer area: in that case the subscription ends at once and your computers are disconnected. Periods already started are not refunded, fully or partly, unless the law requires it or the service became unusable for reasons attributable to us. Your local data stays on your computer; you can export or delete it yourself.

11. Availability and updates

We work for the service to run continuously, but we do not guarantee that it is free of interruptions or errors, especially because of changes by LinkedIn or by providers. We may update the program and, for security reasons or to protect users, pause or turn off remotely specific features (for example, if LinkedIn changes something that makes it dangerous to keep sending). Temporary interruptions do not give a right to compensation.

12. Referral program

• Every customer with an active account has a personal link. For each new customer who creates their account from that link and pays, you get 30% of the amounts charged (without taxes) during their first 12 months.
• Your own account, those of your own company and those of existing customers do not count. Refunds and non-payments are deducted.
• The amount is settled every month as credit for your subscription or, from €50 accumulated and if you ask for it, by payment against an invoice.
• You may not advertise on search engines or social networks with our brand, send unsolicited mass communications or attribute to the product results you cannot prove. If we detect fraud or a breach, we may cancel the affected referrals and the pending balance.
• We may change or end the program with 30 days' notice; what was earned until then is respected.

13. Intellectual property

AutoLeads, its code, design and brand are ours or our licensors'. The texts, criteria and data you enter are yours; you authorise us to process them only to provide you with the service.

14. Limitation of liability

• We are not liable for indirect or unforeseeable damage, loss of profit, loss of business opportunities or reputation, nor for the consequences described in section 5.
• Our total liability for any reason is limited to what you paid for the service in the 12 months before the event that gives rise to it.
• These limitations do not apply in case of wilful misconduct or gross negligence, nor where the law does not allow limiting it.
• You agree to hold us harmless against third-party claims (including people contacted or authorities) arising from your use of the service contrary to these terms or to the law.

15. Suspension and termination

We may suspend or cancel your license, with prior notice where possible, if you breach these terms or the Acceptable use policy, if you do not pay or if your use puts other users at risk. If the cause is a serious breach, there will be no refund.

16. Changes to the terms

We may change these terms to adapt them to legal, technical or service changes. We will let you know of relevant changes at least 30 days in advance; if you keep using the service afterwards, they will be deemed accepted. If you do not agree, you can cancel.

17. Applicable law and jurisdiction

This contract is governed by Spanish law. For any dispute, the parties submit to the courts of [CITY OF THE REGISTERED ADDRESS].
